These Terms and Conditions ("Terms") govern your access to and use of MoodEaser, a mental health and wellbeing marketplace platform. By accessing the Service, you ("User") agree to be bound by these Terms. If you do not agree, do not use the Service. By accepting these terms, you specifically acknowledge that MoodEaser is a supportive two-sided platform connecting users with licensed mental health professionals tool and is not a crisis intervention or emergency medical service.
MoodEaser provides a digital marketplace platform connecting users with independent, licensed mental health Therapists ("Providers"). We also offer supportive tools including journaling and other wellness resources. Important: MoodEaser is a technology platform, not a healthcare provider. While we verify Provider credentials, the therapeutic relationship is strictly between you and the Provider. Our support tools are designed to support, not replace, professional medical advice or crisis intervention.
For the purposes of these Terms:
By using MoodEaser, you confirm you are at least 18 years of age (or have verifiable parental consent where permitted) and have the legal capacity to enter into this agreement. These terms apply to both Private-Pay Users and NHS-Commissioned Users. Continued use of the service following any updates to these terms constitutes your binding acceptance.
Accessing certain features requires account registration, which must include accurate and up-to-date information such as name, email address, and password. Users are solely responsible for maintaining the confidentiality of their credentials and must report unauthorized use immediately.
MoodEaser prioritizes user privacy. Our Privacy Policy, available at https://moodeaser.com/privacy, details data collection and usage practices, ensuring compliance with the General Data Protection Regulation (GDPR).
All materials available on the MoodEaser platform, including but not limited to text, graphics, images, logos, audio, video, software, and any other content (collectively referred to as the "Content"), are the exclusive intellectual property of MoodEaser. Such Content is protected under applicable intellectual property laws, including copyright, trademark, and trade secret laws. Users are hereby prohibited from reproducing, distributing, or modifying any Content without the prior express written consent of MoodEaser. Any unauthorized use of the Content may result in civil or criminal penalties, as well as the termination of the user’s access to the Service.
You retain ownership of your User Content. You grant MoodEaser a limited license to host and process this data strictly to provide the service. Clinical Exception: Clinical Records created by Providers are handled as "Special Category Data" and are stored in our secure UK-based vault. We do not license or sell your private clinical data to third parties.
To the fullest extent permitted by law, MoodEaser is not liable for indirect or consequential losses. Our liability is limited to the platform's technical functionality; clinical liability rests with the independent Provider. Users should also understand that MoodEaser does not guarantee that the Service will always be available without interruption. There may be times when the Service is temporarily unavailable due to maintenance, technical issues, or other reasons beyond MoodEaser's control, and in such cases, MoodEaser will not be liable for any problems that may arise from this lack of availability.
MoodEaser is not a crisis service. However, in accordance with our Clinical Safety obligations, if our automated tools or Providers detect signs of acute risk (e.g., self-harm), we will provide immediate signposting to emergency services (999) and national helplines (e.g., Samaritans). Use of the platform during a crisis is at your own risk.
These Terms of Service, along with any disputes that may arise under or in connection with these Terms, shall be governed by and construed in accordance with the laws of England and Wales.
Users hereby agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Services provided by MoodEaser, or the use of the platform shall be resolved exclusively through binding arbitration. By agreeing to arbitration, users are waiving their rights to pursue any such disputes in a court of law and to a jury trial, except where such a waiver is prohibited by applicable law. The arbitration proceedings shall take place in a location mutually agreed upon by the parties.
MoodEaser reserves the right to modify these Terms. Users will be notified of significant changes via email or within the Service. Continued use after changes signifies acceptance of the revised Terms.
Users hereby agree that they shall not disclose, distribute, or otherwise make public any information or materials provided by MoodEaser without obtaining prior written consent from MoodEaser. This obligation extends to all forms of communication and dissemination, including but not limited to verbal, written, and electronic formats. Users recognize that unauthorized disclosure of Confidential Information may result in irreparable harm to MoodEaser and may lead to legal action to enforce this provision. Furthermore, users are required to maintain an environment that is respectful, inclusive, and free from harassment or discriminatory Behavior while using the MoodEaser platform. This includes engaging in communication that is civil and constructive, refraining from any conduct that could be deemed offensive, abusive, or detrimental to the experience of other users. Users acknowledge that failure to comply with these standards of conduct may result in disciplinary action, including but not limited to suspension or termination of their access to the platform, at the sole discretion of MoodEaser.
Users agree to indemnify and hold harmless MoodEaser from any and all liabilities, losses, damages, claims, actions, or expenses (including attorneys' fees) arising out of:
MoodEaser reserves the right to modify, suspend, or terminate access to the Site or the Services, in whole or in part, at any time and without prior notice. Such modifications may include, but are not limited to, changes in features, functionalities, or availability of the Site or Services. Users acknowledge and agree that MoodEaser shall not be liable for any damages or losses incurred as a result of such modifications, suspension, or termination of access. Users are encouraged to periodically review these Terms to stay informed of any changes or updates. Continued use of the Site or Services following any modifications shall constitute acceptance of the revised Terms and any additional conditions imposed by MoodEaser.
Neither MoodEaser nor the Users shall be liable for any failure to perform their obligations under these Terms if such failure results from circumstances beyond their reasonable control, including but not limited to, natural disasters, war, terrorism, riots, labour disputes, pandemics, government actions, or any other events that could not have been reasonably anticipated or avoided. In the event of such a delay, the affected party shall notify the other party of the occurrence of the force majeure event and shall take all reasonable steps to mitigate the impact of the event on their performance under these Terms.
These Terms of Service constitute the entire agreement between MoodEaser and the User concerning the subject matter herein and supersede all prior agreements, understandings, representations, and negotiations, whether written or oral, between the parties. By using the Service, the User acknowledges that they have read and understood these Terms and agrees to be bound by them.
