Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of MoodEaser, a mental health and wellbeing platform encompassing the MoodEaser mobile/web application, features, and associated services (collectively, the "Service"). By accessing or utilizing any part of the Service, you ("User", "You", or "Your") acknowledge and agree to be bound by these Terms. If you do not agree with any of these Terms, do not use the Service.

1. Introduction

MoodEaser provides mental wellness tools including a conversational AI companion, guided breathing exercises, meditation resources, sleep improvement activities, mood tracking and journal features. These tools are designed to support and enhance users' overall mental well-being as part of a therapist’s ongoing treatment plan. While MoodEaser offers supportive tools and insights, it does not replace professional therapy or medical treatment. All therapeutic guidance is provided in collaboration with licensed therapists, and users should continue consulting their healthcare providers for any personalized medical advice.

By using MoodEaser services, you confirm that you have read, understood, and accepted these Terms. MoodEaser reserves the right to amend these Terms at its discretion, with changes effective immediately upon posting. Continued use of the services following any amendments constitutes acceptance of the revised Terms.

MoodEaser is provided free of charge to clients as part of their therapist’s treatment plan. The app integrates seamlessly with therapy sessions, giving users access to enhanced wellness tools, progress tracking, and AI-powered support between sessions — all at no additional cost. Therapists may customize the experience to align with each client’s treatment goals, ensuring a cohesive and supportive therapy journey.

Accessing certain features requires account registration, which must include accurate and up-to-date information such as name, email address, and password. Users are solely responsible for maintaining the confidentiality of their credentials and must report unauthorized use immediately.

MoodEaser prioritizes user privacy. Our Privacy Policy, available at https://moodeaser.com/privacy, details data collection and usage practices, ensuring compliance with the General Data Protection Regulation (GDPR).

9. Intellectual Property

All materials available on the MoodEaser platform, including but not limited to text, graphics, images, logos, audio, video, software, and any other content (collectively referred to as the "Content"), are the exclusive intellectual property of MoodEaser. Such Content is protected under applicable intellectual property laws, including copyright, trademark, and trade secret laws. Users are hereby prohibited from reproducing, distributing, or modifying any Content without the prior express written consent of MoodEaser. Any unauthorized use of the Content may result in civil or criminal penalties, as well as the termination of the user’s access to the Service.

10. User-Generated Content

By submitting any form of content to the MoodEaser platform (the "User Content"), users hereby grant to MoodEaser a non-exclusive, irrevocable, perpetual, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and create derivative works from such User Content in any and all media now known or hereafter devised, including but not limited to the rights to sublicense these rights to third parties. Users acknowledge and agree that MoodEaser may, at its discretion, monitor and review all User Content submitted to the platform. MoodEaser retains the right to remove any User Content that it deems, in its sole discretion, to violate these Terms or any applicable laws or that may be harmful, offensive, or objectionable for any reason.

11. Limitation of Liability

To the fullest extent allowed by applicable law, MoodEaser shall not be responsible for any indirect, incidental, or consequential damages that may arise from the use of, or the inability to use, the Service. This means that if a user experiences any unexpected or secondary damages, such as loss of profits, data, or other losses resulting from their use of the Service, MoodEaser is not liable for those damages. Users should also understand that MoodEaser does not guarantee that the Service will always be available without interruption. There may be times when the Service is temporarily unavailable due to maintenance, technical issues, or other reasons beyond MoodEaser's control, and in such cases, MoodEaser will not be liable for any problems that may arise from this lack of availability.

11.1 Suicide and Self-Harm Disclaimer

MoodEaser does not provide crisis intervention or suicide prevention services. If you are in emotional distress, thinking about self-harm or suicide, or feel unsafe, please contact emergency services or a suicide prevention helpline in your area immediately. The Service is not designed or intended to be used during a mental health crisis and does not monitor, intervene in, or respond to signs of acute risk. Use of MoodEaser under such circumstances is at your own risk, and the platform disclaims all liability related to crisis situations.

12. Governing law

These Terms of Service, along with any disputes that may arise under or in connection with these Terms, shall be governed by and construed in accordance with the laws of the United Kingdom.

13. Dispute Resolution

Users hereby agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Services provided by MoodEaser, or the use of the platform shall be resolved exclusively through binding arbitration. By agreeing to arbitration, users are waiving their rights to pursue any such disputes in a court of law and to a jury trial, except where such a waiver is prohibited by applicable law. The arbitration proceedings shall take place in a location mutually agreed upon by the parties

MoodEaser reserves the right to modify these Terms. Users will be notified of significant changes via email or within the Service. Continued use after changes signifies acceptance of the revised Terms.

15. Confidentiality and User Conduct

Users hereby agree that they shall not disclose, distribute, or otherwise make public any information or materials provided by MoodEaser ("Confidential Information") without obtaining prior written consent from MoodEaser. This obligation extends to all forms of communication and dissemination, including but not limited to verbal, written, and electronic formats. Users recognize that unauthorized disclosure of Confidential Information may result in irreparable harm to MoodEaser and may lead to legal action to enforce this provision. Furthermore, users are required to maintain an environment that is respectful, inclusive, and free from harassment or discriminatory Behavior while using the MoodEaser platform. This includes engaging in communication that is civil and constructive, refraining from any conduct that could be deemed offensive, abusive, or detrimental to the experience of other users. Users acknowledge that failure to comply with these standards of conduct may result in disciplinary action, including but not limited to suspension or termination of their access to the platform, at the sole discretion of MoodEaser.

Users agree to indemnify and hold harmless MoodEaser from any and all liabilities, losses, damages, claims, actions, or expenses (including attorneys' fees) arising out of:

MoodEaser reserves the right, at its sole discretion, to modify, suspend, or terminate access to the Site or the Services, in whole or in part, at any time and without prior notice. Such modifications may include, but are not limited to, changes in features, functionalities, or availability of the Site or Services. Users acknowledge and agree that MoodEaser shall not be liable for any damages or losses incurred as a result of such modifications, suspension, or termination of access. Users are encouraged to periodically review these Terms to stay informed of any changes or updates. Continued use of the Site or Services following any modifications shall constitute acceptance of the revised Terms and any additional conditions imposed by MoodEaser.

18. Force Majeure

Neither MoodEaser nor the Users shall be liable for any failure to perform their obligations under these Terms if such failure results from circumstances beyond their reasonable control, including but not limited to, natural disasters, war, terrorism, riots, labour disputes, pandemics, government actions, or any other events that could not have been reasonably anticipated or avoided. In the event of such a delay, the affected party shall notify the other party of the occurrence of the force majeure event and shall take all reasonable steps to mitigate the impact of the event on their performance under these Terms.

These Terms of Service constitute the entire agreement between MoodEaser and the User concerning the subject matter herein and supersede all prior agreements, understandings, representations, and negotiations, whether written or oral, between the parties. By using the Service, the User acknowledges that they have read and understood these Terms and agrees to be bound by them.
