Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of MoodEaser For Therapists, a digital platform encompassing the MoodEaser mobile/web application, features, and associated services (collectively, the "Service"). By accessing or utilizing any part of the Service, you ("User", "You", or "Your") acknowledge and agree to be bound by these Terms. If you do not agree with any of these Terms, do not use the Service.

1. Introduction

MoodEaser is a digital platform designed primarily to enable therapy-seeking individuals to discover and initiate contact with independent, licensed mental health professionals. The platform provides digital infrastructure to facilitate visibility, connection, and initial engagement between clients and therapists and does not constitute the provision of psychotherapy, counselling, diagnosis, treatment, or any licensed mental health service.

In addition to its core client–therapist connection functionality, MoodEaser provides technology-driven tools intended to support therapists in the administration, organisation, and enhancement of their private practice. These ancillary tools include, but are not limited to, session note-taking and summarisation, scheduling, and AI-powered co-pilot functionalities such as session preparation assistance, automated SOAP note generation, and homework recommendations.

While MoodEaser seeks to support client discovery through fair exposure and matching mechanisms, the platform does not guarantee that therapists will receive client enquiries, matches, or referrals. Therapists acknowledge that client demand, suitability, and engagement levels may vary and are influenced by factors beyond MoodEaser’s control.

All clinical services are provided solely by the therapist. MoodEaser does not practice psychotherapy or any licensed mental health profession and does not supervise, direct, or control therapeutic services. Therapists remain fully responsible for all clinical decisions, professional conduct, and compliance with applicable legal, ethical, and regulatory standards. Use of the platform constitutes acknowledgment of these limitations and acceptance of full professional responsibility by the therapist.

By accessing or utilizing the MoodEaser Therapist Dashboard ("Dashboard"), the user expressly confirms and warrants that they are a duly qualified, licensed therapist or an authorized mental health professional acting within the scope of their licensure or professional authority. The user further acknowledges that they have read, comprehended, and agreed to be legally bound by the terms and conditions set forth herein ("Terms"). MoodEaser reserves the exclusive right, at its sole discretion, to modify, amend, or update these Terms at any time. Any such modifications shall become effective immediately upon their publication or posting to the MoodEaser platform. The user's continued access to or use of the Dashboard following the posting of any amendments shall constitute full and binding acceptance of the revised Terms, without limitation or qualification. It is the responsibility of the user to regularly review the Terms to ensure ongoing compliance. Failure to adhere to these Terms may result in suspension or termination of access, and may constitute a breach of applicable laws or professional standards.

4. Description of Services

Access to the MoodEaser Therapist Dashboard is governed by a subscription-based licensing model, under which therapists may select from multiple pricing tiers that correspond to varying levels of platform functionality. Each subscription tier grants access to specific features, which may include, but are not limited to:

All subscriptions are billed on a monthly recurring basis, with fees determined by the selected plan level and subject to applicable taxes or service charges. MoodEaser reserves the right to revise pricing structures, feature availability, or subscription terms at its sole discretion, provided that such changes shall be communicated through the platform or other designated channels. Continued use of the Dashboard following any such modifications shall constitute binding acceptance of the updated terms. Therapists are responsible for maintaining accurate billing information and for reviewing subscription details periodically to ensure compliance with their professional and financial obligations.

5. Account Registration

Access to certain features or functionalities of the MoodEaser platform may require Therapists to register for an account. As part of the registration process, Therapists shall provide accurate, current, and complete information, including but not limited to their full name, valid email address, and a secure password. Therapists agree to maintain and promptly update such information to ensure its continued accuracy and completeness.

Therapists are solely responsible for maintaining the confidentiality and security of their account credentials and for all activities conducted under their account. Any unauthorized access, use, or suspected breach of security must be reported to MoodEaser immediately. MoodEaser shall not be liable for any loss or damage arising from the Therapist’s failure to comply with these obligations.

6. Subscription and Payment Terms

Access to the MoodEaser Therapist Dashboard (“Dashboard”) is governed by a subscription-based licensing model structured across tiered pricing plans. Each plan grants access to a distinct set of platform features, as outlined in the applicable subscription documentation or therapist account settings.

Therapists may select from the following monthly subscription plans:

All fees are exclusive of applicable taxes and may be subject to additional service charges based on the therapist’s jurisdiction.

6.3 Automatic Renewal

All subscriptions renew automatically on a monthly basis unless cancelled by the therapist in accordance with Section 5.4. Renewal charges will be processed using the payment method on file. Continued access to the Dashboard is contingent upon successful payment.

6.4 Cancellation Terms

Therapists may cancel their subscription at any time via the account settings interface. To avoid charges for the next billing cycle, cancellations must be completed no less than twenty-four (24) hours prior to the renewal date. Upon cancellation:

Therapists are responsible for maintaining accurate billing information and reviewing subscription details periodically. Failure to update payment credentials or comply with billing obligations may result in suspension or termination of access.

7. Therapist Responsibilities

- Professional Disclaimer

The MoodEaser Therapist Dashboard (“Dashboard”) is a digital support platform intended to facilitate practice-management, administrative, and organisational workflows for licensed mental health professionals. The Dashboard provides ancillary tools such as session note-taking, scheduling, AI-assisted therapeutic insights, and client progress tracking. These tools are supportive in nature and are not intended to replace, override, or serve as a substitute for the therapist’s independent clinical judgment, diagnostic expertise, or therapeutic decision-making.

Therapists acknowledge that MoodEaser may facilitate visibility and connection between therapists and therapy-seeking individuals through the platform. MoodEaser’s role is limited to providing digital infrastructure to support such connections and does not constitute the provision of psychotherapy, counselling, diagnosis, treatment, or any licensed mental health service. MoodEaser does not guarantee that therapists will receive client enquiries, matches, or referrals through use of the platform.

MoodEaser does not engage in the practice of psychotherapy or any licensed mental health profession and does not supervise, direct, or control therapeutic services. Any reliance on tools, insights, or suggestions generated by the Dashboard is at the therapist’s sole discretion and risk. MoodEaser expressly disclaims any liability arising from reliance on its tools for clinical or professional purposes.

Therapists remain solely and exclusively responsible for all professional decisions made in the course of their practice, including but not limited to compliance with applicable ethical codes, licensing requirements, and all federal, state, or local laws and regulations governing the provision of mental health services. Therapists are solely responsible for determining whether to engage, continue, or terminate any therapeutic relationship initiated through the platform.

- Prohibited Conduct

Therapists shall refrain from any use of the Dashboard or marketplace features that may:

MoodEaser reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate access to any therapist account found to be engaged in prohibited conduct or in breach of these Terms.

- Accountability and Security Obligations

Therapists acknowledge and agree that they are fully responsible for all activities conducted under their registered account, including communications with therapy-seeking individuals facilitated through the platform. Therapists are responsible for safeguarding login credentials, access permissions, and any client data accessed or stored through the Dashboard.

Therapists shall ensure that all account information provided to MoodEaser is accurate, complete, and kept current. In the event of any unauthorized access, suspected breach of security, or misuse of account credentials, therapists must promptly notify MoodEaser through designated support channels.

MoodEaser shall not be liable for any loss, damage, or unauthorized disclosure resulting from the therapist’s failure to comply with these obligations.

8. Intellectual Property

MoodEaser owns and retains all intellectual property rights in and to the Platform Content, including but not limited to text, graphics, software, features, and functionality. Therapists are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Dashboard solely for professional purposes related to their provision of services via the Platform.

Except as expressly permitted in writing by MoodEaser, no part of the Platform or its Content may be:

  • copied, reproduced, or downloaded
  • modified, adapted, or reverse-engineered
  • distributed, sublicensed, or otherwise made available to third parties
  • Any unauthorized use constitutes a breach of this Agreement and may result in termination of access and legal action.

    9. Your Rights

    Subject to applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”), data subjects have the following rights with respect to their personal data:

    To the maximum extent permitted by law, MoodEaser shall not be liable for indirect, incidental, special, or consequential damages, including loss of data, profits, or goodwill. Therapists agree to indemnify MoodEaser against claims arising from misuse or breach of these Terms.

    10. Limitation of Liability

    To the maximum extent permitted by applicable law, MoodEaser shall not be liable to any Therapist for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, loss of data, business interruption, or other intangible losses, arising out of or in connection with the use of, or inability to use, the Services, regardless of the theory of liability and even if MoodEaser has been advised of the possibility of such damages.

    Therapists expressly acknowledge and agree that MoodEaser does not warrant or guarantee uninterrupted, error-free, or continuous availability of the Services. Temporary unavailability may occur due to scheduled maintenance, technical malfunctions, or circumstances beyond MoodEaser’s reasonable control. MoodEaser shall not be liable for any damages, losses, or claims arising from such interruptions or limitations in access.

    11. Amendment of Terms

    MoodEaser reserves the right, at its sole discretion, to amend, revise, or otherwise modify these Terms at any time. In the event of any material amendments, MoodEaser shall provide notice to Therapists through reasonable means, which may include email notifications, platform announcements, or in-Service alerts. Therapists acknowledge and agree that continued access to or use of the Site or Services following the effective date of any such amendments shall constitute their binding acceptance of the revised Terms and any supplementary conditions introduced by MoodEaser.

    12. Suspension and Termination for Breach

    In the event that a Therapist breaches any provision of these Terms, MoodEaser reserves the right, at its sole and absolute discretion, to suspend or terminate the Therapist’s access to the Site or the Services, in whole or in part, at any time and without prior notice.

    Therapists expressly acknowledge and agree that MoodEaser shall not be liable for any direct, indirect, incidental, consequential, or special damages, losses, or claims arising out of or in connection with such suspension or termination of access.

    13. Confidentiality and Standards of Conduct

    Therapists hereby undertake and agree not to disclose, disseminate, or otherwise make available to any third party any information, documentation, or materials designated or reasonably understood to be confidential by MoodEaser (“Confidential Information”), without the prior written consent of MoodEaser. This obligation shall apply irrespective of the medium of communication, including but not limited to oral, written, digital, or electronic formats.

    Therapists acknowledge that any unauthorized disclosure of Confidential Information may result in immediate and irreparable harm to MoodEaser, and MoodEaser shall be entitled to seek injunctive relief, specific performance, and any other remedies available under applicable law, including damages, without the necessity of proving actual loss.

    In addition, Therapists shall conduct themselves in a manner that upholds the integrity and professional standards of the MoodEaser platform. This includes maintaining an environment that is respectful, inclusive, and free from any form of harassment, discrimination, or abusive conduct. Therapists shall engage in civil, constructive, and professional communication at all times and shall refrain from any behaviour that may reasonably be considered offensive, disruptive, or detrimental to the experience of other platform participants.

    MoodEaser reserves the right, at its sole discretion, to investigate any alleged breach of these obligations and to take appropriate disciplinary action, which may include, without limitation, suspension or termination of access to the platform, and referral to relevant regulatory or legal authorities where warranted.

    14. Changes to Terms

    MoodEaser reserves the right to modify these Terms. Users will be notified of significant changes via email or within the Service. Continued use after changes signifies acceptance of the revised Terms.

    15. Indemnity

    Therapists agree to indemnify, defend, and hold harmless MoodEaser, its affiliates, officers, directors, employees, agents, and representatives from and against any and all liabilities, losses, damages, claims, actions, judgments, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or in connection with:

  • Unauthorized Use of the Service: Any access to or use of the MoodEaser platform or Services by the Therapist that is not expressly authorized under these Terms.
  • Therapist Content:Any content, data, or materials submitted, uploaded, or otherwise provided by the Therapist that violates these Terms, infringes upon the intellectual property or other rights of any third party, or otherwise gives rise to liability.
  • Breach of Terms: Any actual or alleged breach of these Terms by the User.
  • Violation of Law: Any violation of applicable laws, regulations, or governmental requirements by the Therapist in connection with their use of the platform or provision of services.
  • Negligence or Misconduct: Any negligent, reckless, fraudulent, by the Therapist in connection with their use of the MoodEaser platform or interactions with other users.
  • This indemnity obligation shall survive the termination or expiration of these Terms and the Therapist’s access to the platform.

    16. Termination and Amendment Rights

    MoodEaser reserves the right, at its sole discretion, to modify, suspend, or terminate access to the Site or the Services, in whole or in part, at any time and without prior notice. Such modifications may include, but are not limited to, changes in features, functionalities, or availability of the Site or Services. Therapists acknowledge and agree that MoodEaser shall not be liable for any damages or losses incurred as a result of such modifications, suspension, or termination of access. Users are encouraged to periodically review these Terms to stay informed of any changes or updates. Continued use of the Site or Services following any modifications shall constitute acceptance of the revised Terms and any additional conditions imposed by MoodEaser.

    17. Force Majeure

    Neither MoodEaser nor the Therapist shall be liable for any failure or delay in the performance of their respective obligations under these Terms where such failure or delay results from circumstances beyond their reasonable control, including but not limited to natural disasters, war, civil unrest, labour disputes, pandemics, governmental actions, or any other events that could not reasonably have been foreseen or prevented.

    In the event of such a force majeure occurrence, the affected party shall promptly notify the other party in writing and shall undertake all reasonable efforts to mitigate the impact of the event on the performance of its obligations under these Terms.

    18. Dispute Resolution

    Therapists hereby acknowledge and agree that any and all disputes, claims, or controversies arising out of or in connection with these Terms, the Services provided by MoodEaser, or the use of the platform shall be exclusively and finally resolved through binding arbitration administered by the London Court of International Arbitration (LCIA), in accordance with the LCIA Rules in effect at the time of the commencement of the arbitration.

    By consenting to arbitration, Therapists expressly waive any right to initiate or participate in litigation before any court of law or to a trial by jury, to the fullest extent permitted by applicable law.

    The arbitration shall be conducted in the English language, and the seat of arbitration shall be London, United Kingdom, unless otherwise mutually agreed by the parties in writing.

    The arbitral award rendered by the tribunal shall be final, conclusive, and binding upon the parties and may be enforced in any court of competent jurisdiction in accordance with applicable laws and international conventions.

    19. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.

    20. Entire Agreement

    These Terms of Service constitute the entire agreement between MoodEaser and the Therapist with respect to the subject matter hereof. By accessing or using the Service, the Therapist acknowledges that they have read, understood, and agreed to be bound by these Terms.
